PARTICIPANT AGREEMENT, RELEASE OF LIABILITY,

ASSUMPTION OF RISK, AND SAFE SPORT POLICY

Section 1 — Parties and Scope

This Agreement is entered into between Train Momo LLC dba MOMO Brazilian Jiu-Jitsu ("MOMO BJJ," "the Academy," "we," or "us"), located at 12828 Eldorado Pkwy Suite 140, Frisco, Texas 75035, and the undersigned individual. If the Participant is under 18 years of age, the undersigned parent or legal guardian executes this Agreement on behalf of the minor Participant and on their own behalf.

This Agreement applies to all activities conducted at the Academy's primary facility, any authorized partner facility (including Samurai BJJ in Prosper, Texas, and any other location designated by the Academy), and any MOMO BJJ-organized event, competition, or program, regardless of location.

Section 2 — Description of Activity and Inherent Risks

Brazilian Jiu-Jitsu ("BJJ") is a martial art and combat sport involving physical contact, grappling, joint locks, chokes, throws, positional control, and supervised sparring (commonly called "rolling"). Participation in BJJ and related activities involves inherent risks that cannot be eliminated regardless of the care taken by the Academy or its instructors.

By signing this Agreement, you acknowledge that participation in BJJ and all related Academy activities involves risks including but not limited to:

•  Sprains, strains, muscle tears, and soft tissue injuries

•  Fractures, dislocations, and joint injuries

•  Head, neck, and spinal injuries, including concussion and paralysis

•  Skin abrasions, lacerations, mat burns, and communicable skin conditions

•  Dental and facial injuries

•  Cardiovascular events

•  Permanent disability or death

You acknowledge that these risks exist even when instruction is competent, facilities are well maintained, and all safety precautions are followed. You voluntarily assume all risks, known and unknown, arising from participation in BJJ and all Academy activities.

Section 3 — Release and Waiver of Liability

IN CONSIDERATION OF BEING PERMITTED TO PARTICIPATE IN ANY ACTIVITY AT OR ASSOCIATED WITH MOMO BJJ, YOU — AND, IF YOU ARE SIGNING ON BEHALF OF A MINOR, ON THAT MINOR'S BEHALF — HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE TRAIN MOMO LLC DBA MOMO BRAZILIAN JIU-JITSU, ITS MEMBERS, OWNERS, OFFICERS, INSTRUCTORS, COACHES, EMPLOYEES, VOLUNTEERS, AGENTS, AND ANY AFFILIATED OR PARTNER FACILITY (COLLECTIVELY, "RELEASED PARTIES") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, LOSSES, OR DAMAGES ON ACCOUNT OF INJURY, LOSS, OR DAMAGE TO PERSON OR PROPERTY, INCLUDING DEATH, WHETHER ARISING FROM THE NEGLIGENCE OF THE RELEASED PARTIES OR OTHERWISE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

You understand and agree that this release covers claims arising from, without limitation: instruction or coaching decisions; the physical condition of any training facility; the actions of other participants; equipment failure; and any other aspect of Academy operations.

Parents of minor Participants and/or legal guardians, as well as any other person signing this Agreement on behalf of a minor, agree that MOMO BJJ shall not, and cannot, be held liable for any negligence or acts of other Participants, instructors, or staff, including but not limited to any negligence in the pairing or placement of the minor Participant with another student during training. On behalf of the minor Participant, my heirs, executors, administrators, and assigns, I hereby forever release, discharge, and hold harmless Train Momo LLC dba MOMO Brazilian Jiu-Jitsu, its representatives and agents from any injury, loss, or damage to person or property arising out of or in connection with participation in Academy activities, notwithstanding that such injury, loss, or damage may have been contributed to or occasioned by the negligence of MOMO BJJ, its representatives, or agents.

Section 4 — Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, actions, suits, judgments, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your participation — or your minor child's participation — in any MOMO BJJ activity, to the extent such claims arise from your own conduct or the conduct of your minor child.

Section 5 — Medical Authorization and Health Representation

You represent that the Participant is in adequate physical condition to participate in BJJ and has no known medical condition that would make participation inadvisable. You agree to inform the Academy of any medical conditions, injuries, or limitations that may affect safe participation before each training session.

In the event of a medical emergency involving a minor Participant and the parent or guardian cannot be reached promptly, you authorize Academy staff to seek emergency medical treatment at the nearest appropriate facility. You acknowledge that the Released Parties assume no financial responsibility for such treatment.

Section 6 — Safe Sport and Child Protection Policy

MOMO BJJ is unconditionally committed to providing a safe, transparent, and professional training environment for all participants, particularly minors. This section constitutes the Academy's formal Safe Sport and Child Protection Policy. By signing this Agreement, you acknowledge these policies and agree to hold the Academy accountable to them.

A. Open Observation Policy

Parents and legal guardians have the right to observe any class or training session at MOMO BJJ at any time, without advance notice. No class or session involving minor Participants is conducted in any space that is hidden from or inaccessible to parental observation. The Academy may designate specific observation areas to minimize disruption while preserving full transparency.

B. Two-Adult Rule — Solo Contact Prohibition

No instructor, coach, staff member, or volunteer of MOMO BJJ shall be alone with a single minor Participant in any private, enclosed, or isolated space at any time. Group instruction — where one adult instructor works with two or more minor Participants in an open, observable training area — is standard practice and is permitted. The risk this policy addresses is one adult and one minor with no other person present and no line of sight from outside. Private or semi-private lessons involving a single minor Participant require the presence of that minor's parent or legal guardian, or another adult, in the training space for the duration of the session. If a situation arises in which a minor Participant would otherwise be left alone with a single adult in a private space, the Academy will contact the parent or guardian immediately. This policy has no exceptions.

C. Physical Contact Standards

Physical contact is inherent to BJJ instruction. All physical contact with Participants at MOMO BJJ is limited to technique demonstration, positional correction, and supervised sparring consistent with proper BJJ pedagogy. All such contact occurs in open training areas, in view of other adults. Physical contact that is sexual in nature, gratuitous, or inconsistent with the pedagogical purpose of BJJ instruction is strictly prohibited and constitutes grounds for immediate removal and referral to law enforcement.

D. Prohibited Conduct

The following conduct is strictly prohibited by all Academy staff, instructors, volunteers, and adult Participants:

•  Any sexual contact with a minor Participant

•  Grooming behavior, including excessive private communication with a minor outside of Academy channels

•  Requests for private meetings with a minor outside of Academy activities

•  Sharing or soliciting sexually explicit material with or from any Participant

•  Any conduct intended to isolate a minor from other adults or from parental supervision

•  Retaliation against any person who reports a concern in good faith

E. Reporting Procedures

Any Participant, parent, guardian, or observer who believes they have witnessed or experienced conduct inconsistent with this policy is encouraged and expected to report it. Academy staff are aware of and will comply with Texas Family Code Section 261.101, which requires all persons in Texas to immediately report suspected child abuse or neglect to the Texas Department of Family and Protective Services or a law enforcement agency. This obligation applies to all Academy personnel and is not discretionary. Reports may be made through any of the following channels:

1.  Academy Owner — Brian Yi: info@trainmomo.com or the phone number provided at enrollment. The Academy will respond within 24 hours.

2.  If the concern involves Brian Yi directly, or if you believe an immediate response is needed: Frisco Police Department non-emergency line at 972-292-6010, or 911 for emergencies.

3.  Texas Department of Family and Protective Services (DFPS) Child Abuse Hotline: 1-800-252-5400 (available 24/7) or online at txabusehotline.org. Texas law requires mandatory reporting of suspected child abuse or neglect.

MOMO BJJ prohibits retaliation in any form against any person who makes a good-faith report under this policy. Retaliation is itself a violation of this policy and grounds for removal from the Academy.

F. Acknowledgment of Policy

By signing this Agreement, you acknowledge that you have read and understood this Safe Sport and Child Protection Policy, that you agree to abide by its terms, and that you agree to hold MOMO BJJ accountable to these standards. You further acknowledge that the Academy's commitment to this policy is a material term of your enrollment.

G. Age-Appropriate Class Placement

Minor Participants will be placed in classes appropriate to their age and skill level. MOMO BJJ does not pair minor Participants with significantly older or larger training partners for live sparring without the informed consent of the parent or legal guardian. Parents who have questions or concerns about their child's class placement or sparring assignments are encouraged to speak with the head instructor before or after any session.

Section 7 — Photo and Video Release

You grant Train Momo LLC and its affiliated brands (including MOMO BJJ and MOMO Movement) the non-exclusive, royalty-free right to photograph, film, and record the Participant's likeness, image, and voice during Academy activities, and to use such materials in promotional content, social media, marketing communications, and educational materials, without compensation or further consent.

If you do not wish the Participant to be photographed or filmed, you must notify the Academy in writing prior to the first session. This restriction will be noted in the Academy's records and respected to the extent practicable in a group training environment.

Section 8 — Code of Conduct

You agree that the Participant will comply with the following Academy rules at all times:

•  Tap promptly and clearly to signal submission. Respect your partner's tap immediately.

•  Train with control appropriate to your partner's size, age, experience, and physical condition.

•  Maintain personal hygiene: clean gi or training attire, trimmed fingernails and toenails, no jewelry or hard accessories during training.

•  Disclose any injury, illness, or contagious skin condition to an instructor before training.

•  Follow all instructor directives during class.

•  Treat all Participants, instructors, and staff with respect, regardless of rank, age, or experience.

Violation of the Code of Conduct may result in removal from a session or termination of enrollment at the Academy's discretion.

Communicable Skin Conditions: Any Participant diagnosed with or suspected of having a communicable skin condition (including but not limited to ringworm, staph infection, impetigo, or MRSA) must not attend training until cleared in writing by a licensed physician. Participants are responsible for disclosing any such condition before returning to the mat. MOMO BJJ reserves the right to require proof of physician clearance before permitting a Participant to resume training.

Concussion and Head Injury Protocol: Any Participant who sustains or is suspected of sustaining a concussion or significant head injury during training must immediately stop activity and may not return to training that day. Before returning to any MOMO BJJ training following a concussion or head injury, the Participant must provide written clearance from a licensed physician. For minor Participants, the parent or legal guardian is responsible for obtaining and providing this clearance. This protocol has no exceptions.

Training Attire and Hygiene: Participants are responsible for wearing appropriate training attire and maintaining proper hygiene. Gis, rashguards, shorts, and other training clothing must be clean and free of excessive odor. Fingernails and toenails must be trimmed. Jewelry, watches, hard accessories, or other items that may injure another participant are not permitted during training. Participants are responsible for providing any personal protective equipment they choose to use, including mouthguards, athletic cups, braces, or similar items. MOMO BJJ reserves the right to deny participation if attire, hygiene, or equipment creates a safety or sanitation concern.

Section 9 — General Provisions

Privacy: MOMO BJJ collects and stores Participant and family information for enrollment, safety, emergency contact, communication, and academy administration purposes. MOMO BJJ does not sell Participant personal information. Information may be shared only with service providers reasonably necessary to operate the Academy or respond to emergencies, or as required by law.

Severability

If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalidity of one provision does not affect the validity of the Agreement as a whole.

Entire Agreement

This Agreement, together with the MOMO BJJ Membership Agreement executed at enrollment, constitutes the entire agreement between the parties with respect to participation at MOMO BJJ and supersedes all prior communications or understandings, whether oral or written. The two documents are complementary and neither supersedes the other.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under or related to this Agreement shall be resolved exclusively in the state or federal courts located in Collin County, Texas.

Modification

MOMO BJJ reserves the right to update its Safe Sport and Child Protection Policy. Participants will be notified of material changes and may be asked to execute an updated agreement.

MEMBERSHIP AGREEMENT

This Membership Agreement ("Agreement") is entered into between Train Momo LLC dba MOMO Brazilian Jiu-Jitsu ("MOMO BJJ") and the member named below ("Member"). By signing this Agreement, Member accepts the terms and conditions of MOMO BJJ membership.

Section 1 — Membership Inclusions

Standard Membership includes the following:

•  Access to all regularly scheduled classes on the MOMO BJJ class schedule appropriate to each enrolled household member.

•  Family add-on rate as disclosed at enrollment per additional family member enrolled under the same household account, subject to availability.

•  Access to members-only open mat sessions as scheduled.

Facility Location: 12828 Eldorado Pkwy Suite 140, Frisco, Texas 75035. MOMO BJJ operates on days and hours as posted on the current class schedule at trainmomo.com. Class schedule, session times, days of operation, and program offerings are subject to change with reasonable advance notice to Members.

Section 2 — Billing and Payment

•  Membership rate, type, and billing recurrence are as specified on the signature page of this Agreement and on file in the Academy's membership system.

•  Family add-on: rate as disclosed at enrollment per additional household member.

•  Billing begins on the date of enrollment and recurs on the same day each month thereafter.

•  Member is responsible for maintaining current and valid payment information on file at all times. Failure to maintain valid payment information may result in suspension of membership access.

•  A sign-up fee may apply at enrollment as disclosed at the time of registration.

EFT Authorization: By providing payment information and enrolling in a MOMO BJJ membership, you authorize Train Momo LLC dba MOMO Brazilian Jiu-Jitsu to initiate recurring electronic fund transfers from the credit card or bank account on file for monthly membership dues. This authorization remains in effect until MOMO BJJ has collected all charges in connection with the terms of this Agreement or until you cancel your membership in accordance with Section 3.

Section 3 — Month-to-Month Terms and Cancellation

MOMO BJJ membership is month-to-month. There is no long-term contract or minimum commitment period beyond the terms stated in this Agreement.

To cancel membership, Member must submit written notice of cancellation to info@trainmomo.com at least 30 days before the next billing date. Membership access continues through the end of the paid period. No refunds are issued for the current paid billing period once the billing period has begun, except where required by law.

MOMO BJJ reserves the right to adjust membership rates with a minimum of 30 days written notice to Members. Members who do not accept a rate change may cancel without penalty during the notice period.

NOTICE TO PURCHASER: DO NOT SIGN THIS CONTRACT UNTIL YOU READ IT OR IF IT CONTAINS BLANK SPACES.

IF YOU DECIDE YOU DO NOT WISH TO REMAIN A MEMBER OF THIS HEALTH SPA, YOU MAY CANCEL THIS CONTRACT BY MAILING TO THE HEALTH SPA BY MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE DAY YOU SIGN THIS CONTRACT A NOTICE STATING YOUR DESIRE TO CANCEL THIS CONTRACT. THE WRITTEN NOTICE MUST BE MAILED BY CERTIFIED MAIL TO THE FOLLOWING ADDRESS: TRAIN MOMO LLC DBA MOMO BJJ, 12828 ELDORADO PKWY SUITE 140, FRISCO, TEXAS 75035.

IF THE HEALTH SPA GOES OUT OF BUSINESS AND DOES NOT PROVIDE FACILITIES WITHIN 10 MILES OF THE FACILITY IN WHICH YOU ARE ENROLLED OR IF THE HEALTH SPA MOVES MORE THAN 10 MILES FROM THE FACILITY IN WHICH YOU ARE ENROLLED, YOU MAY: (A) CANCEL THIS CONTRACT BY MAILING BY CERTIFIED MAIL A WRITTEN NOTICE STATING YOUR DESIRE TO CANCEL THIS CONTRACT, ACCOMPANIED BY PROOF OF PAYMENT ON THE CONTRACT TO THE HEALTH SPA AT THE FOLLOWING ADDRESS: TRAIN MOMO LLC DBA MOMO BJJ, 12828 ELDORADO PKWY SUITE 140, FRISCO, TEXAS 75035; AND (B) FILE A CLAIM FOR A REFUND OF YOUR UNUSED MEMBERSHIP FEES AGAINST THE BOND OR OTHER SECURITY POSTED BY THE HEALTH SPA WITH THE TEXAS SECRETARY OF STATE. TO MAKE A CLAIM AGAINST THE SECURITY PROVIDE A COPY OF YOUR CONTRACT TOGETHER WITH PROOF OF PAYMENTS MADE ON THE CONTRACT TO THE TEXAS SECRETARY OF STATE. THE REQUIRED CLAIM INFORMATION MUST BE RECEIVED BY THE SECRETARY OF STATE NOT LATER THAN THE 90TH DAY AFTER THE DATE NOTICE OF THE CLOSURE OR RELOCATION IS FIRST POSTED ON THE SECRETARY OF STATE’S INTERNET WEBSITE.

IF YOU DIE OR BECOME TOTALLY AND PERMANENTLY DISABLED AFTER THE DATE THIS CONTRACT TAKES EFFECT, YOU OR YOUR ESTATE MAY CANCEL THIS CONTRACT AND RECEIVE A PARTIAL REFUND OF YOUR UNUSED MEMBERSHIP FEE BY MAILING A NOTICE TO THE HEALTH SPA STATING YOUR DESIRE TO CANCEL THIS CONTRACT. THE HEALTH SPA MAY REQUIRE PROOF OF DISABILITY OR DEATH. THE WRITTEN NOTICE MUST BE MAILED BY CERTIFIED MAIL TO THE FOLLOWING ADDRESS: TRAIN MOMO LLC DBA MOMO BJJ, 12828 ELDORADO PKWY SUITE 140, FRISCO, TEXAS 75035.

The 30-day cancellation notice requirement may be waived only in the following circumstances: (1) Member receives official government written orders of relocation (e.g., military orders); or (2) Member sustains an injury or illness resulting in the permanent inability to continue training, confirmed in writing by a licensed physician. To waive the notice requirement, Member must provide the required third-party documentation by personal delivery, certified mail, or email to info@trainmomo.com. Cancellation under either waiver condition takes effect upon receipt and verification of all required documentation.

Section 4 — Membership Holds

Members may place their membership on hold for a minimum of 1 week and a maximum of 30 days per hold, up to a total of 60 days (2 months) during any 12-month period. During a hold, recurring billing is suspended and the membership term end date is extended by the duration of the hold.

To request a hold, Member must notify MOMO BJJ in writing at info@trainmomo.com a minimum of 30 days prior to the desired hold start date.

Holds automatically release at the end of the approved hold period unless Member provides written notice requesting an extension and written approval is granted by MOMO BJJ.

Section 5 — Declined and Delinquent Payments

If any scheduled payment is declined, MOMO BJJ reserves the right to assess a $10 fee for each declined payment. In the event Member fails to pay any obligation in accordance with the terms of this Agreement, MOMO BJJ may suspend or terminate membership access. Should Member default on any payment for more than 30 days, all amounts due under this Agreement shall become immediately due and payable. Member agrees to reimburse MOMO BJJ for any expenses, including reasonable attorneys' fees, incurred in connection with the collection or enforcement of any obligation under this Agreement.

Section 6 — Non-Transferability

Membership benefits are personal to the enrolled Member and may not be transferred to any other individual without prior written permission from MOMO BJJ.

Section 7 — State of Texas Consumer Rights Notice

STATE OF TEXAS NOTICE OF CONSUMER RIGHTS

If MOMO BJJ is closed for a period of one month or more, you are entitled to your choice of either an extension of this Agreement or a prorated refund. If the closing is not the fault of the Academy, MOMO BJJ is entitled to make that election. This notice is an integral part of this Agreement.

If you become disabled for at least 3 months during the membership term and a licensed physician confirms the disability in writing, you are entitled to an extension of this Agreement for the duration of the disability.

Section 8 — Scheduled Closures

MOMO BJJ will observe the following scheduled closures each year. Classes will not be held on these dates. No make-up classes, credits, or prorations are provided for scheduled closures.

  • New Year’s Day (January 1)
  • Memorial Day (last Monday in May)
  • Independence Day (July 4)
  • Labor Day (first Monday in September)
  • Thanksgiving Day and the Friday following
  • Christmas Eve (December 24)
  • Christmas Day (December 25)
  • New Year’s Eve (December 31)

MOMO BJJ reserves the right to add or modify scheduled closures with at least 14 days’ written notice to Members by email. Monthly dues are not adjusted for scheduled closures.

Section 9 — Conduct and Eligibility

Membership is subject to compliance with MOMO BJJ's Code of Conduct and all Academy policies, including the Safe Sport and Child Protection Policy set forth in the Participant Agreement and Release of Liability. MOMO BJJ reserves the right to suspend or terminate membership, without refund for the current period, in the event of conduct that is unsafe, disruptive, or inconsistent with Academy standards.

All Members and minor Participants must have a signed Participant Agreement, Release of Liability, Assumption of Risk, and Safe Sport Policy on file before attending any class or Academy activity. If any Member willfully or negligently damages MOMO BJJ property, the cost of repairing or replacing such property shall be the Member’s responsibility.

Section 10 — General Provisions

This Agreement, together with the MOMO BJJ Participant Agreement, Release of Liability, Assumption of Risk, and Safe Sport Policy (the “Participant Agreement”), constitutes the entire agreement between the parties with respect to enrollment at MOMO BJJ and supersedes all prior discussions or understandings. The two documents are complementary and neither supersedes the other. This Agreement is governed by the laws of the State of Texas. Any dispute arising under this Agreement shall be resolved in Collin County, Texas. If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force.

Privacy: MOMO BJJ collects and stores member and participant information for enrollment, billing, safety, emergency contact, communication, and academy administration purposes. MOMO BJJ does not sell member personal information. Member information may be shared only with service providers reasonably necessary to operate the Academy, process payments, manage enrollment, or respond to emergencies, or as required by law.

MEMBER ENROLLMENT AND ACKNOWLEDGMENT
